FTN Motion Limited: Motor Vehicle Pre Order Agreement
Terms & Conditions
1. Terms
1.1 These terms of service form the contract between you and FTN Motion (Contract) and apply in respect of all Streetdogs and accessories supplied by FTN Motion to you.
2. Deposit
2.1 Each preorder you submit for a Streetdog serves as a deposit for potential future purchases. You are not obligated to purchase the vehicle, and FTN Motion is not obligated to supply it.
2.2 These terms do not represent a binding agreement for the sale of a vehicle and do not guarantee pricing, a production slot, delivery date, or specific configuration.
2.3 To complete the purchase, you must sign FTN Motion's Motor Vehicle Order Agreement, which will include the final price, taxes, and any applicable fees.
2.4 FTN Motion reserves the right to decline preorders to manage availability. If your preorder is declined, you will be notified, and your deposit will be refunded.
3. Price
3.1 In respect of all Streetdogs supplied by FTN Motion to you, you will pay to FTN Motion the Price applicable to such Streetdog, plus goods and services tax and any other applicable amounts referred to in clause 3.2.
3.2 Unless expressly specified otherwise in your Contract, all Prices are exclusive of freight and all applicable taxes (including goods and services tax) assessed or levied in connection with the supply of the Streetdog.
4. Payment
4.1 FTN Motion shall invite you to complete your order online, where you can pay via credit card or bank deposit. We will provide you with an invoice for shipping prior to Delivery of your Streetdog.
4.2 Payment is due in full (into the bank account nominated by FTN Motion) before Delivery of any Streetdog. FTN Motion shall be under no obligation to Deliver your Streetdog to you until payment has been received in full for the Streetdog.
4.3 4.3 FTN Motion may request a deposit upon acceptance of a quotation or estimate, confirmation of an order, or at another time specified by FTN Motion. The deposit will be fully refundable up until the balance payment is due.
5. Cancellation of orders
5.1 You may not cancel any order for the Streetdog following confirmation of an order by FTN Motion and entry into this Contract. If FTN Motion does agree to any such purported cancellation, you will be responsible for, and shall pay to FTN Motion upon demand, any costs incurred by FTN Motion in respect of your cancelled order.
6. Delivery and registration
6.1 Any quotations regarding the time of delivery are estimates only and not binding commitments. FTN Motion is not liable for any failure to meet these delivery time estimates.
6.2 Upon notification that your vehicle is ready for delivery, either to your address or another agreed location, you agree to schedule and take delivery within one week of the provided date. If delivery is delayed due to your unavailability, your order may be cancelled, and the vehicle may be made available to other customers.
6.3 When placing a preorder for a Streetdog, you represent and warrant that all information provided is accurate, and it is your responsibility to keep this information current by emailing Hello@ftnmotion.com. FTN Motion will not be liable for any issues arising from inaccurate or outdated information.
7. Risk and title
7.1 Risk of any loss, damage or deterioration of or to the Streetdog shall be borne by you from the time of Delivery. It is up to you to satisfactorily insure all risks in the Streetdog from the time that risk passes to you in such items.
7.2 Property in and ownership of all Streetdog remains with FTN Motion until Delivery.
8. Warranty and Returns
8.1 FTN Motion warrants that the Streetdog supplied to you will be free from material defects at the time of delivery.
8.2 FTN Motion warrants that the commissioned Streetdog is supplied to you according to the specifications outlined in your brief.
8.3 Your Streetdog's battery, motor, and frame are additionally covered under a 2-year manufacturer's warranty, valid for 24 months or 10,000 km (whichever comes first) from the delivery date.
8.4 Except for the warranties specified in clauses 7.1 and 7.2 (or any other guarantees that apply pursuant to clause 9.3), FTN Motion provides no other warranties or guarantees regarding the Goods or Services.
8.5 In the event of a breach of the warranties in clauses 7.1 and 7.2 (or any other guarantees that apply pursuant to clause 9.3), FTN Motion will repair or replace any defective Streetdog, provided that such defects are reported to FTN Motion within one month of their occurrence. FTN Motion is not liable for:
a. Damage occurring after delivery, except to components that fall under the 2-year manufacturer's warranty mentioned in 7.3;
b. Repairs attempted by anyone other than FTN Motion;
c. Modifications or dismantling of the Streetdog without FTN Motion's prior approval;
d. Improper storage, maintenance, or use of the Streetdog.
Repair or replacement under this clause 7.5 is your sole remedy for any defective Streetdog. FTN Motion has the right to request shipment of defective Streetdogs to our Hamilton workshop or an official service partner at your expense.
8.6 FTN Motion may, at its discretion, accept a request from you to return the Streetdog for credit, exchange, or refund. Any such acceptance is conditional upon your compliance with reasonable terms and conditions set by FTN Motion for the return.
8.7 The New Vehicle Limited Warranty applies to your Streetdog, and a written copy is provided at or before delivery. This warranty is valid only within New Zealand and Australia("Home Jurisdiction"). If your vehicle requires warranty service outside these areas, you will be responsible for all associated costs to return the vehicle for service.
8.8 The warranty covers all components, including the battery and frame, but excludes wear-and-tear items such as tyres, tubes, cables, and brake pads.
8.9 To maintain your warranty, service checks must be performed by authorised FTN personnel or service partners. Any unauthorised work will void the warranty.
8.10 For warranty claims, you must be the registered owner of the bike, provide a purchase receipt, and have service records available. Submit these details to servicing@ftnmotion.com. FTN Motion will repair or replace any defective products if the warranty conditions are met.
8.11 The warranty is transferable upon sale, provided you inform FTN Motion of the ownership transfer. It remains valid as long as the bike and accessories are used properly according to the manual's operating guidelines.
9. Your warranties
9.1 You warrant that:
a. all information and/or materials provided by you to FTN Motion in connection with this Contract are accurate, complete and up to date; and
b. you will not use the Streetdog if you have been notified by FTN Motion that the Streetdog (or any part of it) is unsafe to use.
9.2 Without limiting any other right or remedy available to FTN Motion for a breach of warranty by you, to the extent FTN Motion incurs any cost or expense as a result of a breach by you of the warranties in clause 8.1 or any misuse of the Streetdog, you shall reimburse FTN Motion for such costs and expenses upon demand by FTN Motion.
10. Liability
10.1 Except to the extent liability cannot be limited by law, the total liability of FTN Motion for any loss arising from your (or any of your invitees’) use of the Streetdog, the negligence of FTN Motion or any of its personnel, or any other breach by FTN Motion of its obligations under or in connection with your Contract will not in any circumstances exceed the Price for the Streetdog in respect of which liability arises.
10.2 Neither party shall be liable for any loss of profits, or any consequential, indirect or special damage or damage or injury of any kind suffered by the other party or any of its representatives.
10.3 Except where you are acquiring the Goods in “trade” (as defined in the Consumer Guarantees Act 1993 (CGA)), nothing in this Contract is intended to have the effect of limiting or reducing your rights against FTN Motion under the CGA. As a consumer, you are entitled to certain guarantees under the CGA. If FTN Motion breaches any of these guarantees, your rights of redress are set out in the CGA.
10.4 Where you are acquiring the Goods in “trade” (as defined in the CGA), you agree that the provisions of the CGA will not apply to these Terms.
11. Privacy
11.1 Each of FTN Motion and you agree to comply with all applicable privacy laws, directives and policies in connection with either of our processing of personal information that we gain access to in connection with your Contract.
11.2 You authorise us to collect and hold personal information we consider appropriate to be used for credit, administration, operational and marketing purposes related to your Contract, and you shall ensure that you have obtained express consent to such use and disclosure from the relevant individuals.
12. General
12.1 All intellectual property rights in the Streetdog are and shall remain the property of FTN Motion.
12.2 To the extent any confidential information is provided by FTN Motion to you, you must keep that information strictly confidential.
12.3 You are solely responsible for obtaining (at your own cost) any permits, licences or approvals that may be necessary or required in connection with the use of any Streetdog.
12.4 You consent to the use of your name by FTN Motion in any future marketing campaign or advertisement of FTN Motion goods or services.
12.5 Neither party will be liable for any delay or for any failure to fulfil its obligations under this Contract (except with respect to any payment obligations) if the failure or delay arises directly or indirectly from or as a consequence of any cause or circumstance beyond the reasonable control of that party.
12.6 The parties agree to use their best endeavours to promptly resolve any dispute or difference between them by way of good faith negotiations. FTN Motion may, at its option, require you to submit to mediation with assistance of a qualified mediator.
12.7 The failure of FTN Motion to enforce any provision of your Contract shall not be treated as a waiver of that provision, nor shall it affect FTN Motion’s future right to enforce that provision.
13. Export/Import:
13.1 We do not provide any assistance or support with respect to the export, transportation, logistics, homologation, or registration of any of our vehicles to any jurisdiction outside of the Home Jurisdiction. This means, among other things, that we will not provide any documents, test reports, certifications, or any other correspondence regarding the status of any of our vehicles for the purposes of facilitating any export or import outside authorised FTN Motion channels.
In these terms:
Streetdog means the bike described in the Key Terms.
Delivery has the meaning given to it in clause 5.1.
Documentation means any formal written specifications or testing certificates provided by FTN Motion to you in connection with your Streetdog (as amended by FTN Motion from time to time), but shall not include any marketing or promotional material.
Streetdog means the FTN Bike, together with the associated Streetdog described in the Key Terms.
Price means the price of the Streetdog specified in the Key Terms.
FTN Motion means FTN Motion Limited.
Key Terms means the front page to this agreement (or, where you are ordering the Streetdog online, the online order form completed by you and FTN Motion) containing the key terms of sale.
